Terms of Service

Effective date: 21 August 2026

1. General Provisions and Acceptance of the Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("you", "User") and PROFSOFT GLOBAL - FZCO ("Company", "we", "us" or "our") and govern your access to and use of Vaaau and the related applications, websites and services (collectively, the "Service").

Service Provider:

  • PROFSOFT GLOBAL - FZCO
  • Registration Number: DSO-FZCO-19380
  • License Number: 21028
  • Address: DSO-IFZA, IFZA Properties, Dubai Silicon Oasis, Dubai, UAE
  • Tel.: +971 585798657
  • E-mail: hello@profsoft.ae

By creating a Vaaau account and confirming your acceptance of these Terms, you agree to be bound by them. If you do not agree to these Terms, you must not create an account or use the Service.

You must be 18 years of age or older and have the legal capacity to enter into a binding agreement to create a Vaaau account and use the Service. By creating an account, you represent that you meet these requirements.

These Terms apply to both free and paid use of the Service. Certain features, subscription plans or services may be subject to additional conditions disclosed to you before you use or purchase the relevant feature or service.

The processing of personal data in connection with Vaaau is governed separately by our Privacy Policy. Acceptance of these Terms does not constitute consent to any processing for which applicable data protection law requires separate consent.

2. Description of the Service

Vaaau is a digital family vault designed to help users store, organize, manage and access personal and family documents.

Depending on the functionality available under your subscription plan, the Service may allow you to:

  • upload and store documents, images and other supported files;
  • organize and categorize documents;
  • recognize documents and extract relevant information from them;
  • identify document types, dates and expiration dates;
  • search information contained in uploaded documents;
  • ask questions about uploaded documents and receive AI-generated responses based on their content;
  • share selected documents or information with family members or other authorized Vaaau users;
  • use other features made available by Vaaau from time to time.

The availability and limits of particular features, including storage capacity, the number of documents, AI requests, family members or other functionality, may depend on the subscription plan selected by you. Current features, limits and prices are displayed in the Service or through the relevant purchase interface before a subscription is purchased.

Vaaau is intended to assist users in storing, organizing, retrieving and understanding information contained in their documents. Specific limitations applicable to AI-generated content are described separately in Section 5 of these Terms.

Certain features may not be available in all countries, on all devices or under all subscription plans.

3. Account Registration and Security

Account Registration

To use certain features of Vaaau, you must create an account.

You may create or access your account using an email address or supported third-party authentication services, including Sign in with Apple and Sign in with Google.

You must provide accurate and current information where such information is required for registration or use of the Service and must not create an account using false information or impersonate another person.

Your Vaaau account is personal to you. You may not sell, transfer or provide another person with unauthorized access to your account. Where you wish to provide another person with access to documents through Vaaau, you should use the family or sharing functionality provided by the Service rather than sharing your account credentials.

Account Security

You are responsible for taking reasonable measures to protect your account, authentication credentials and devices used to access Vaaau.

You must:

  • keep your authentication credentials confidential;
  • use reasonable security measures on devices through which you access the Service;
  • not knowingly allow unauthorized persons to access your account;
  • promptly notify us if you become aware of or reasonably suspect unauthorized access to or use of your account.

If you suspect unauthorized access, you should contact us at hello@profsoft.ae.

We may require additional authentication, temporarily restrict access to an account or take other reasonable security measures where we reasonably believe that an account or the Service may be compromised, used without authorization or present a security risk.

We may also require users to install or use an updated version of the Vaaau application where an update is reasonably necessary for security, compatibility or continued operation of the Service.

4. Your Documents and Content

Ownership of Your Content

You retain all rights and ownership interests that you have in the documents, images, files and other content that you upload, store or share through Vaaau ("Your Content").

These Terms do not transfer ownership of Your Content to PROFSOFT GLOBAL - FZCO.

Limited Licence to Provide the Service

By uploading or otherwise providing Your Content through Vaaau, you grant us a limited, non-exclusive, worldwide licence to host, store, reproduce, process, organize, index, analyze, extract information from, display and otherwise technically use Your Content solely to the extent necessary to provide, maintain, secure and support the Service and the functionality requested by you.

This includes, where applicable, processing Your Content in order to:

  • store and organize documents;
  • recognize and classify documents;
  • extract text, dates and other relevant information;
  • enable document search and retrieval;
  • provide AI-powered functionality requested by you;
  • create technical and backup copies necessary for the operation and security of the Service;
  • display or make Your Content available to other Vaaau users where you choose to share it with them.

This licence does not give us the right to sell Your Content or use it for purposes unrelated to providing and operating Vaaau.

The licence ends when Your Content is deleted from the Service, except to the limited extent continued retention or processing is reasonably necessary to complete deletion, comply with applicable law or protect legal rights.

Your Responsibility for Content

You are responsible for the content that you upload, store or share through Vaaau.

By providing Your Content to the Service, you represent that:

  • you have the necessary rights, permissions or other lawful authority to upload, store and use the relevant content through Vaaau;
  • your use of the content through Vaaau does not unlawfully infringe the intellectual property, privacy or other rights of another person;
  • where Your Content contains information relating to another individual, you are lawfully entitled to provide and, where applicable, share that information through the Service;
  • you will comply with applicable law and these Terms when uploading, storing or sharing Your Content.

Vaaau does not require you to transfer ownership of documents belonging to another person. You are responsible only for ensuring that you have the lawful authority necessary for the way in which you use such documents through the Service.

Additional restrictions relating to prohibited or unlawful content are set out in Section 7 of these Terms.

5. AI Features and AI-Generated Content

Use of Artificial Intelligence

Vaaau uses artificial intelligence and automated technologies to provide certain features of the Service.

Depending on the functionality available to you, AI may be used to:

  • recognize and classify uploaded documents;
  • extract text and relevant information from documents and images;
  • identify document types, dates and expiration dates;
  • organize and retrieve information contained in documents;
  • process questions submitted by you;
  • generate responses based on information contained in your documents.

AI functionality may rely on third-party technologies and AI models. The specific technologies used by Vaaau may change as the Service develops.

Accuracy and Verification of AI-Generated Content

AI-generated responses and automatically extracted information may contain errors, omissions or inaccuracies.

Vaaau does not guarantee that AI-generated content, document recognition or extracted information will always be complete or accurate.

You should verify important information against the original document before relying on it, particularly where the information may affect your legal rights, health, finances, insurance, taxes or other significant matters.

The original document remains the primary source of information. AI-generated responses are intended to assist you in locating, organizing and understanding information and should not replace review of the underlying document.

No Professional Advice

Vaaau is a document management and information assistance service. It is not a provider of legal, medical, financial, investment, tax, insurance or other regulated professional services.

AI-generated responses are provided for general informational and document-assistance purposes only and do not constitute professional advice, diagnosis, recommendation or opinion.

Use of Vaaau does not create a lawyer-client, doctor-patient, financial adviser-client or other professional relationship.

Where a decision may have significant legal, medical, financial or other consequences, you should obtain advice from an appropriately qualified professional.

AI Transparency

Vaaau identifies AI-powered functionality and AI-generated responses so that users can understand when they are interacting with artificial intelligence or viewing information generated with the assistance of AI.

Where required by applicable law, information about the use of AI will be provided clearly and at the appropriate point of interaction with the relevant functionality.

You remain responsible for deciding whether and how to rely on AI-generated information, subject to any rights and protections that cannot be excluded under applicable consumer law.

6. Family Vault and Sharing

Sharing with Other Users

Vaaau may allow you to share documents or information with family members or other authorized Vaaau users through the sharing functionality available in the Service.

You decide whether to share Your Content, with whom it is shared and, where the relevant functionality is available, the level of access granted to another user.

Sharing Your Content through Vaaau does not transfer ownership of that content to another user or to PROFSOFT GLOBAL - FZCO.

Each person invited to use Vaaau must use their own account and comply with these Terms.

Access Permissions

A user with whom Your Content is shared may access and use that content only to the extent permitted by the access rights available through the Service.

You are responsible for selecting the persons with whom you share Your Content and for granting appropriate access permissions.

Where the relevant functionality is available, you may modify or revoke another user's access to shared content.

Revoking access prevents further access through Vaaau but does not automatically delete copies that another user lawfully downloaded, exported or otherwise obtained before access was revoked.

Content Relating to Other Individuals

If you upload or share documents containing information relating to another person, you must have the rights, permissions or other lawful authority necessary to use and share that information through Vaaau.

You must not use the family or sharing functionality to disclose information to a person who is not lawfully entitled to receive it.

PROFSOFT GLOBAL - FZCO is not responsible for a user's decision to share content with another person or for the recipient's independent use of information lawfully obtained through the Service, except to the extent such responsibility cannot be excluded under applicable law.

7. Acceptable Use and Content Restrictions

Acceptable Use

You may use Vaaau only for lawful purposes and in accordance with these Terms.

You must not:

  • upload, store, share or otherwise use content in violation of applicable law;
  • upload or share content where you do not have the rights, permissions or other lawful authority necessary to do so;
  • infringe the intellectual property, privacy, data protection or other rights of another person;
  • upload malware, viruses, malicious code or other content intended to damage, interfere with or compromise the Service, another user or any device or system;
  • attempt to gain unauthorized access to Vaaau, another user's account, documents, systems or infrastructure;
  • circumvent or interfere with authentication, access controls, security measures, usage limits or technical restrictions of the Service;
  • use automated means to access, extract or interact with the Service in a manner that is not authorized by us and that may interfere with the operation or security of the Service;
  • reverse engineer, decompile or disassemble the Service except to the extent such restriction is prohibited by applicable law;
  • use Vaaau in a manner that materially disrupts, damages or impairs the Service or its use by other users.

Illegal or Prohibited Content

We may remove or restrict access to specific content where we reasonably determine that:

  • the content violates applicable law or these Terms;
  • we are required to remove or restrict it by a competent authority or other binding legal requirement;
  • the content creates a material security risk to the Service or its users.

Where appropriate and permitted by law, we will seek to limit any restriction to the affected content or functionality rather than restricting the entire account.

Where required by applicable law, we will inform the affected user of the restriction and the reasons for our decision, unless we are legally prohibited from doing so or notification would create a material security risk.

Reporting Illegal Content

If you believe that specific content stored or shared through Vaaau is illegal, you may notify us through the reporting mechanism made available through the Service or our website.

A notice should contain sufficient information to allow us to identify and assess the relevant content, including, where applicable:

  • an explanation of why you believe the content is illegal;
  • sufficient information to identify or locate the relevant content;
  • your name and email address, except where applicable law allows a notice to be submitted without such identification;
  • confirmation that you believe in good faith that the information provided in the notice is accurate and complete.

We will assess sufficiently substantiated notices in a timely, diligent and objective manner and take appropriate action where necessary.

If you believe that your content or account has been restricted incorrectly, you may contact us at hello@profsoft.ae and request that the decision be reviewed.

8. Subscription Plans, Payments and Renewal

Free and Paid Plans

Vaaau may offer both free and paid subscription plans.

The features and limits available to you, including document storage, AI requests, family access and other functionality, depend on the plan you select.

Current subscription plans, their features, applicable limits, billing periods and prices are displayed in the Service or through the relevant purchase interface before you complete a purchase.

We may introduce, modify or discontinue subscription plans from time to time. Changes to an existing paid subscription are subject to Section 9 of these Terms and applicable consumer protection law.

Payments

Paid subscriptions may be purchased through the Apple App Store, Google Play or other authorized payment providers made available through Vaaau.

Before completing a purchase, you will be informed of the applicable price, currency, billing period and any applicable taxes or charges.

Where payment is processed through a third-party platform or payment provider, payment processing is also subject to the applicable terms and billing rules of that provider.

PROFSOFT GLOBAL - FZCO does not control payment information that is processed exclusively by the relevant payment provider.

Automatic Renewal

Where you purchase a recurring subscription, it will automatically renew at the end of each applicable billing period, such as monthly or annually, unless you cancel the subscription before the applicable renewal date.

The applicable billing period and renewal terms will be displayed before you purchase the subscription.

Unless otherwise stated at the time of purchase, a renewed subscription will be charged using the payment method associated with the platform or payment provider through which the subscription was purchased.

Cancellation

You may cancel the automatic renewal of a paid subscription at any time through the platform or payment method through which the subscription was purchased or through another cancellation mechanism made available by Vaaau.

Unless applicable law or the relevant purchase terms provide otherwise, cancellation of automatic renewal takes effect at the end of the current paid billing period. You may continue to use the paid features until that period expires.

Cancellation of a paid subscription does not automatically delete your Vaaau account or Your Content.

After the paid subscription ends, your account may revert to the free plan available at that time. If the amount of Your Content exceeds the limits of the applicable free plan, certain functions may be restricted until you reduce the amount of stored content, renew your subscription or select another available plan. We will not delete Your Content solely because your paid subscription has ended without providing reasonable notice, except where otherwise permitted by these Terms or required by law.

Refunds and Statutory Withdrawal Rights

Payments are non-refundable except where a refund is required by applicable law, these Terms or the rules of the payment platform through which the subscription was purchased.

Where you are entitled to a statutory right of withdrawal, cancellation, price reduction, reimbursement or other consumer remedy, nothing in these Terms limits that right.

In particular, consumers in the European Union or European Economic Area may have a statutory right to withdraw from a distance contract within 14 days of its conclusion, subject to applicable legal conditions and exceptions.

Where you request that a paid Service begins during an applicable withdrawal period, any consequences of beginning performance before that period expires will be presented to you where required by applicable law.

Where a subscription was purchased through the Apple App Store, Google Play or another third-party payment platform that administers refunds, refund requests may need to be submitted directly through that platform.

Changes to Subscription Prices

We may change the price of a paid subscription for future billing periods.

Where a price change affects an existing recurring subscription, we will provide reasonable advance notice and, in any event, any notice required by applicable law or the relevant payment platform.

A new price will not apply retroactively to a billing period that has already been paid.

If you do not agree to the new price, you may cancel the subscription before the new price takes effect. Continued renewal after the effective date of the price change will be charged at the new price, subject to applicable law and any additional confirmation required by the relevant payment platform.

9. Changes to the Service, Updates and Availability

Service Updates

Vaaau is a digital service that may be updated and developed over time.

We may provide updates, including security, compatibility and technical updates, that are necessary to maintain the security, functionality and conformity of the Service.

Some updates may be installed automatically. Other updates may require you to install a new version of the application.

Where an update is necessary for the continued security or proper functioning of the Service, we may inform you of the availability of the update and the consequences of failing to install it.

To the extent permitted by applicable law, we are not responsible for a lack of functionality or conformity resulting solely from your failure to install an update within a reasonable period after you have been properly informed of the update and its consequences.

Changes to Features and Functionality

We may modify the Service where there is a valid reason to do so, including in order to:

  • improve the functionality, performance, security or reliability of Vaaau;
  • adapt the Service to changes in technology, operating systems, devices or technical infrastructure;
  • respond to changes in applicable law, regulatory requirements or security standards;
  • address security vulnerabilities, fraud, misuse or other risks;
  • adapt the Service to changes in the number of users, usage patterns or technical capacity;
  • replace, update or improve third-party technologies, AI models or service providers used to provide Vaaau;
  • add new functionality or modify functionality that has become technically obsolete or no longer reasonably suitable for the operation of the Service.

Changes necessary to maintain the Service, including security and compatibility updates, may take effect when reasonably necessary.

Other changes will be made without additional charge to an existing subscription unless you separately choose to purchase a different subscription plan or additional paid functionality.

Material Changes Affecting Users

If a change materially and negatively affects your access to or use of a paid Service, we will provide clear information about the change within a reasonable period before it takes effect, where required by applicable law.

Where European consumer law applies and such a change has more than a minor negative impact on your access to or use of the Service, you may have the right to terminate the affected subscription without charge within the period provided by applicable law, unless we allow you to continue using the Service without the relevant modification and without additional cost.

Nothing in this Section limits any mandatory rights or remedies available to consumers under applicable law.

Availability and Maintenance

We seek to maintain the availability, security and proper functioning of Vaaau but do not guarantee that the Service will be uninterrupted at all times.

Access to some or all of the Service may be temporarily interrupted or limited due to:

  • scheduled maintenance or updates;
  • emergency maintenance or security measures;
  • technical failures;
  • failures of communications networks, cloud infrastructure or third-party services;
  • circumstances beyond our reasonable control.

Where reasonably practicable, we will seek to minimize interruptions and provide advance notice of scheduled maintenance that is expected to materially affect access to the Service.

Temporary interruptions do not affect any mandatory rights that you may have where the Service fails to meet applicable contractual or statutory requirements.

10. Privacy and Data Protection

The processing of personal data in connection with the use of Vaaau is governed by our separate Privacy Policy, which is available through the Service and our website.

The Privacy Policy explains what personal data we process, how and why it is processed, the use of service providers and AI technologies, applicable retention periods, international transfers, security measures and the rights available to users under applicable data protection laws.

These Terms do not replace or modify the Privacy Policy.

Where applicable data protection law requires separate consent for a particular processing activity, acceptance of these Terms does not constitute such consent.

11. Intellectual Property

Ownership of Vaaau

Except for User Content, all rights, title and interest in and to Vaaau and the Service, including the software, source and object code, technologies, functionality, interfaces, visual design, graphics, text, databases, trademarks, logos and other materials created for or used as part of the Service, are owned by or licensed to PROFSOFT GLOBAL - FZCO and are protected by applicable intellectual property laws.

These Terms do not transfer to you any ownership rights in Vaaau or any intellectual property of PROFSOFT GLOBAL - FZCO or its licensors.

Your rights in the documents and other content that you upload to Vaaau are governed by Section 4 of these Terms.

Licence to Use the Service

Subject to your compliance with these Terms and the conditions of your applicable subscription plan, we grant you a limited, personal, non-exclusive, non-transferable and non-sublicensable right to access and use Vaaau for your personal and family purposes during the term of your account.

This licence allows you to install and use the Vaaau application on compatible devices and access the functionality made available under your subscription plan.

The licence is granted solely for the use of the Service and does not give you any right to commercially exploit, distribute or otherwise make Vaaau or any part of it available to third parties.

The licence ends when your right to use the Service is terminated in accordance with these Terms.

Restrictions

Except to the extent expressly permitted by applicable law, you may not:

  • copy, reproduce, distribute, sell, license or commercially exploit Vaaau or any substantial part of the Service;
  • modify, adapt or create derivative works based on the software or other protected elements of Vaaau;
  • reverse engineer, decompile or disassemble the software;
  • remove, alter or obscure copyright, trademark or other proprietary notices contained in the Service;
  • use the name, trademarks, logos or other branding of Vaaau or PROFSOFT GLOBAL - FZCO without our prior authorization.

Nothing in these Terms restricts any use, study, testing, decompilation or other activity that applicable law expressly permits and does not allow to be excluded by contract.

Third-Party and Open-Source Components

Vaaau may include software, libraries or other components provided by third parties, including open-source components.

Where separate licence terms apply to such components, your use of them is also subject to the relevant third-party licence terms. To the extent required by applicable law or the relevant licence, those terms will prevail with respect to the particular third-party component.

12. Suspension and Termination

Termination by You

You may stop using Vaaau and close your account at any time through the account deletion functionality available in the Service or by contacting us at hello@profsoft.ae.

Cancellation of a paid subscription and termination of automatic renewal are governed by Section 8 of these Terms. Cancelling a subscription does not by itself close your Vaaau account.

Before closing your account, you should export or otherwise retain copies of any documents that you wish to keep.

Where applicable law requires us to allow you to retrieve content following termination, we will make the relevant content available to you in accordance with such requirements.

Deletion and retention of personal data following account closure are governed by our Privacy Policy.

Suspension or Restriction of Access

We may temporarily suspend or restrict access to your account, specific content or particular functionality where reasonably necessary because:

  • you materially or repeatedly violate these Terms;
  • the Service is being used for unlawful activity;
  • your use of the Service creates a material security risk to Vaaau, another user or a third party;
  • we reasonably suspect fraud, unauthorized access or misuse of the account;
  • amounts due for a paid subscription have not been paid;
  • suspension or restriction is required by applicable law, a court or a competent authority;
  • temporary restriction is reasonably necessary to protect the integrity, availability or security of the Service.

Where reasonably possible, we will seek to limit the restriction to the affected content, functionality or account rather than applying broader restrictions.

We will provide notice of a suspension or restriction and, where appropriate, an opportunity to remedy the relevant issue, unless advance notice is prohibited by law, would create a material security risk or immediate action is reasonably necessary.

Termination by Vaaau

We may terminate your right to use the Service where:

  • you materially breach these Terms and, where the breach can reasonably be remedied, fail to remedy it within a reasonable period after receiving notice;
  • you repeatedly violate these Terms;
  • you use the Service for serious or unlawful activity;
  • continued provision of the Service to you would create a material security or legal risk;
  • we are required to terminate access by applicable law, a court or a competent authority.

Where the circumstances permit, we will provide reasonable prior notice before terminating an account.

We may also discontinue Vaaau or a material part of the Service for legitimate business, technical or legal reasons. Where this affects an existing paid subscription, we will provide reasonable advance notice where practicable and refund any prepaid amount corresponding to the period after termination where required by applicable law or where we discontinue the paid Service before the end of the applicable billing period.

Effect of Termination

Upon termination of your account:

  • your right to access and use the Service ends;
  • any active subscription will be handled in accordance with the applicable purchase terms and Section 8 of these Terms;
  • Your Content may cease to be accessible through the Service;
  • provisions of these Terms which by their nature are intended to continue after termination will remain effective.

Where applicable law gives you a right to retrieve content provided or created by you through the Service following termination, we will provide such content without undue hindrance, within the period and in the format required by applicable law.

Termination does not affect any rights, obligations or liabilities that arose before the effective date of termination.

13. Service Standards, Consumer Rights and Liability

Service Standards and Consumer Rights

We will provide Vaaau with reasonable care and skill and in accordance with the requirements that apply to digital services under applicable law.

Nothing in these Terms excludes or limits any mandatory rights or remedies available to you as a consumer.

Where applicable consumer law provides rights in the event that the Service is not supplied, does not conform to the contract or otherwise fails to meet mandatory legal requirements, you may be entitled, depending on the circumstances, to:

  • have the Service brought into conformity;
  • receive an appropriate reduction in price;
  • terminate the relevant contract or subscription;
  • receive a refund or other remedy provided by applicable law.

Any such rights apply regardless of any limitation or disclaimer contained elsewhere in these Terms.

Service and AI Limitations

While we take reasonable measures to maintain the availability, security and proper functioning of Vaaau, we do not guarantee that the Service will be uninterrupted or completely free from errors.

AI-generated responses, document recognition and automatically extracted information may contain inaccuracies or omissions and are subject to the limitations described in Section 5.

Vaaau is intended to assist with the storage, organization and retrieval of documents. It should not be treated as the sole repository for irreplaceable original documents. We recommend that you retain original documents and appropriate independent copies of particularly important information.

Circumstances Outside Our Responsibility

To the extent permitted by applicable law, we are not responsible for a failure or impairment of the Service caused exclusively by circumstances outside our reasonable control, including:

  • failures of your internet connection, device or operating system;
  • unauthorized modifications to your device or software;
  • your failure to install an update after you have been properly informed that the update is necessary for the security or continued functioning of the Service;
  • failures of third-party networks, platforms or infrastructure outside our reasonable control;
  • acts of public authorities, natural disasters, widespread communications failures or other events beyond our reasonable control.

This provision does not limit our responsibility where the relevant failure results from our own breach of contract, failure to comply with applicable law or failure to take measures that could reasonably have been expected from us.

Limitation of Liability

Nothing in these Terms excludes or limits liability to the extent that such liability cannot lawfully be excluded or limited.

In particular, nothing in these Terms excludes or limits liability for:

  • fraud or fraudulent misrepresentation;
  • intentional misconduct or gross negligence where such liability cannot be limited under applicable law;
  • death or personal injury where liability cannot lawfully be excluded;
  • violation of mandatory consumer rights;
  • any other liability that applicable law does not permit us to exclude or limit.

To the maximum extent permitted by applicable law, we are not liable for losses that were not reasonably foreseeable as a consequence of our breach at the time the relevant agreement was entered into.

Vaaau is intended primarily for personal and family use. To the extent permitted by applicable law, we are not liable for loss of business profits, business opportunities, revenue or other commercial losses resulting from use of the Service for business purposes.

Nothing in this Section limits any statutory right to compensation or other remedy that you may have under applicable consumer law.

14. Changes to These Terms, Governing Law and General Provisions

Changes to These Terms

We may update these Terms from time to time where reasonably necessary, including to reflect:

  • changes to the Service or its functionality;
  • changes in applicable law or regulatory requirements;
  • security, technical or operational developments;
  • changes that improve or clarify these Terms without materially reducing your rights.

The current version of these Terms will indicate the date of its latest update.

If we make a material change that significantly affects your rights or obligations, we will provide reasonable advance notice and, where practicable, at least 30 days' notice before the change takes effect.

If you do not agree to a material change, you may stop using the Service and terminate your account or subscription before the change takes effect, subject to any mandatory rights available under applicable law.

Where applicable law requires your affirmative acceptance of amended terms, the relevant changes will not apply to you until the required acceptance has been obtained.

Changes required by law, necessary to address an urgent security issue or otherwise necessary to prevent immediate harm may take effect earlier where reasonably necessary.

Governing Law

These Terms are governed by the laws of the United Arab Emirates and the laws applicable in the Emirate of Dubai, without prejudice to any mandatory rules of law that apply to you as a consumer.

If you are a consumer habitually resident in the European Union or another jurisdiction whose mandatory consumer protection laws apply to your use of Vaaau, this choice of law does not deprive you of the protection afforded by provisions of the law of your country of residence that cannot be excluded by agreement.

Dispute Resolution and Jurisdiction

If you have a complaint or dispute relating to Vaaau or these Terms, we encourage you to contact us first at hello@profsoft.ae so that we can attempt to resolve the matter directly.

Subject to mandatory consumer protection and jurisdiction rules, disputes arising out of or relating to these Terms or the Service shall be subject to the jurisdiction of the competent courts of Dubai, United Arab Emirates.

If you are a consumer, nothing in these Terms prevents you from bringing proceedings before any court that has jurisdiction under mandatory laws applicable to you, including, where applicable, the courts of your place of residence.

Where applicable law provides access to an alternative dispute resolution procedure, information about the relevant procedure or body will be provided where required.

Assignment

You may not transfer your account or assign your rights or obligations under these Terms to another person without our prior consent.

We may transfer our rights and obligations under these Terms in connection with a merger, corporate reorganization, acquisition, sale of the Service or transfer of the relevant business, provided that such transfer does not reduce any mandatory rights available to you under applicable law.

Where required by applicable law, you will be informed of such transfer.

Severability and Entire Agreement

If any provision of these Terms is found to be invalid, unlawful or unenforceable, that provision will apply to the maximum extent permitted by law, and the remaining provisions will remain in effect.

These Terms, together with any additional terms expressly presented and accepted in connection with a specific feature, subscription or purchase, constitute the agreement between you and PROFSOFT GLOBAL - FZCO concerning your use of the Service.

Our failure to exercise or enforce any right under these Terms does not constitute a waiver of that right.

Language

These Terms may be made available in different languages.

Unless mandatory law requires otherwise, if there is any inconsistency between the English version and a translation, the English version will prevail.

Nothing in this provision limits any right you may have under applicable consumer law to receive contractual information in a particular language.
